Institutional Licensing Terms
At The Scrub Ninjas®, Academy Level Up™, and affiliated educational platforms operated by EDTECH EDU LLC®, we may offer institutional licensing options for schools, universities, tutoring organizations, educational programs, learning centers, and approved educational entities.
These Institutional Licensing Terms govern the authorized use of institutional educational access, subscriptions, digital learning systems, and proprietary educational materials.
Scope of Institutional License
Institutional licenses are intended solely for the authorized educational institution, organization, department, or approved learning group identified at the time of purchase or agreement.
Institutional access may include:
- educational applications
- question banks
- review games
- digital learning systems
- courses and educational modules
- memberships
- analytics tools
- educational dashboards
- instructor access
- supplemental learning resources
- related digital educational services
All institutional licenses are:
- non-transferable
- limited in scope
- institution-specific
- subject to the approved number of licensed users, seats, subscriptions, or access agreements
Institutional licensing does not transfer ownership of intellectual property or grant rights beyond the explicitly authorized educational use described within the licensing agreement.
Authorized Users & Seat Allocation
Institutional access is limited to the number of authorized users, seats, or participants specified within the licensing agreement or subscription plan.
Each licensed user may be required to maintain:
- an individual account
- unique login credentials
- authorized institutional access permissions
Institutions are responsible for maintaining appropriate administrative oversight of:
- student access
- faculty access
- instructor permissions
- administrative account management
- user credential security
Access may not be shared beyond the approved institution, campus, department, or authorized learning group unless expressly permitted in writing.
Restrictions on Use
Unless otherwise agreed in writing, institutional licenses do not permit:
- redistribution of educational content
- resale of subscriptions or access
- credential sharing between unauthorized users
- public posting or reproduction of proprietary materials
- sublicensing to third parties
- cross-campus sharing outside the licensed entity
- use beyond the purchased seat allocation
- copying, scraping, exporting, or mass reproduction of question banks or educational systems
- use of content for commercial test-prep redistribution
- AI training, dataset extraction, or automated content harvesting
- reverse engineering of educational systems or gameplay structures
Institutions and users may not remove copyright notices, trademarks, branding elements, or proprietary educational identifiers from any platform materials.
Intellectual Property & Proprietary Systems
All educational systems, gameplay structures, instructional methodologies, question banks, visual learning systems, branding elements, proprietary learning frameworks, audio, video, graphics, and associated digital materials remain the intellectual property of EDTECH EDU LLC® unless otherwise stated in writing.
Institutional licensing grants limited authorized educational access only and does not constitute transfer of ownership, authorship, publishing rights, or derivative work permissions.
Unauthorized reproduction, redistribution, commercial reuse, or replication of proprietary educational systems is prohibited.
Monitoring & Usage Integrity
EDTECH EDU LLC® reserves the right to:
- monitor reasonable usage patterns
- investigate suspected misuse
- review excessive simultaneous login activity
- limit unauthorized account sharing
- suspend unauthorized access
- terminate institutional licenses for material violations of these terms
Monitoring activities are conducted solely for the purpose of:
- protecting intellectual property
- maintaining platform integrity
- ensuring licensing compliance
- supporting educational security and operational performance
Institutional Responsibilities
Institutions utilizing licensed educational systems are responsible for:
- ensuring compliance with licensing limitations
- maintaining appropriate administrative oversight
- protecting student and faculty login credentials
- using educational materials in accordance with applicable laws and institutional policies
- ensuring users understand acceptable use requirements
Institutions remain responsible for all activity occurring under institution-managed accounts or administrator-controlled access.
Educational & Supplemental Use
Institutional licenses are intended for supplemental educational support and academic reinforcement purposes.
The Scrub Ninjas®, Academy Level Up™, and EDTECH EDU LLC® do not guarantee:
- examination outcomes
- licensure success
- admissions outcomes
- academic performance
- certification results
- employment placement
Educational materials are designed to support learning engagement, active recall, review, and educational reinforcement within broader educational programs.
Enterprise Agreements & Custom Licensing
Additional licensing agreements, enterprise contracts, custom educational partnerships, reseller restrictions, district-wide agreements, or institutional access terms may include supplemental conditions specific to the institution or organization.
Where separate written agreements exist, those agreements may supersede portions of these standard Institutional Licensing Terms.
Suspension & Termination
EDTECH EDU LLC® reserves the right to suspend, restrict, or terminate institutional access for:
- material violations of licensing terms
- unauthorized redistribution
- excessive credential sharing
- misuse of proprietary educational systems
- unlawful activity
- behavior that compromises platform security or intellectual property protections
Termination of institutional access may occur without refund where permitted by applicable law.
